Buying, selling and investing in businesses

We can help with financing advice, options for entity structure, completing your due diligence investigations, drafting and negotiating sale and purchase agreements, advice on restraints of trade, staffing and transfer of leases.

Banking and Finance

We have experience and expertise in most areas of banking and finance, having acted for lenders and borrowers. We can assist with advice on project funding (including public private partnerships), subordinated and mezzanine finance, financial markets and services compliance, securities, capital raising, insolvency and restructuring.

Commercial Contracts

Having well-drafted contracts in place reduces business risk and helps to set expectations. We assist with the review, negotiation and drafting of a broad array of contractual arrangements such as goods and services agreements, supply and distribution agreements, franchise agreements, website terms of use and licensing agreements.

The type of business structure you choose can affect how your business grows and how easily you can sell your business. Every structure has difference legal and financial obligations and implications. We have experience establishing and working with companies, joint ventures, limited partnerships, partnerships and trusts. 

Regulatory Compliance

Adhering to the many laws that affect the day-to-day operation of your business is an essential, but often complex and time-consuming requirement. We regularly advise our clients on, among others matters, compliance with financial markets and financial service providers regulations, anti-money laundering obligations, privacy obligations, consumer protection, anti-competitive conduct and consumer credit.
